BFF Bank S p A: Resignation of Mrs. Amlie Scaramozzino from the mandate of director

Milano, 24 years oldand February 2022 BFF Bank SpA (“BFFs“or the”Bank“)announces that today, Mrs. Amélie Scaramozzino, independent and non-executive Director, as well as member of the Committee for the evaluation of transactions with related and related parties and of the Remuneration Committee, has resigned, with effect as of today.

In particular, in this context, Ms Scaramozzino states that she “discreetly take note of the fact that today the Remuneration Committee has decided to express opinions different from mine on the modification of the specific terms and conditions of the contract between the company and the CEO and I have taken the necessary decisions. Sometimes people have different ideas and opinions.I would like to emphasize that this decision does not change the professional regard I have for the CEO and the management of the company, to whom I wish – as well as all the directors, auditors and BFFs – a future full of success.

Ms. Scaramozzino was named to the list presented by the outgoing BFF Board of Directors at the Ordinary General Meeting of 25and March 2021.

No compensation or other benefit is due following the termination of the mandate.

In accordance with article IA.2.6.7 of the Instructions accompanying the Regulations for Markets organized and managed by Borsa Italiana SpA, it should also be noted that, on the basis of the information made available to the Bank, to date, Mrs Scaramozzino does not hold, directly or indirectly, BFF ordinary shares.
